Instituto de Empresa and DMR Consulting create the Observatory on Boards of Directors and Information

Madrid, 30 November 2005. Instituto de Empresa Business School and DMR Consulting have signed an agreement to create the Observatory on Boards of Directors and Information, a research centre that is to analyse the information flows received and sent by members of the boards of directors of leading Spanish enterprises, together with their impact on the efficient management of the companies in question.

This is the first research centre to be created in this field in Spain. The new observatory will deliver its first research report during the first half of 2006 and will analyse the information required for the supervision and control of members of the boards, and the information created for shareholders, investors and the market.

"We are aware that there is a certain lack of information received and given by boards of directors, which is something we aim to study in this new research centre," Tomás Garicano, director of the observatory, pointed out. Furthermore, he also considered that, "the impact of new technologies will enable the reception of quality information for members of the boards to carry out their work efficiently."

For Luis Ramos, a partner of DMR Consulting, "the basic aim is to identify improvements in the content and creation of the information available to members of boards of directors. This information is of key importance to guarantee their ability to meet their obligations to shareholders and maintain their independence from management bodies."

The observatory will have a mixed coordination committee made up of Luis Ramos and Iván Ruiz, executives from DMR Consulting, Santiago Iñiguez, Dean of Instituto de Empresa and Tomás Garicano, director of the observatory and Professor at Instituto de Empresa.
