Brief description

Capital markets must be understood as any market in which securities are placed and traded as a mean for entities to raise funds for their operations.

This course will depart from the different categories of capital markets, either according to the securities being traded (notably, stock and bond markets) or their placement (primary and secondary markets), encompassing the relevant processes and the different players involved.

Lessons will also focus on the investors’ protection, as this is the cornerstone of developed trading venues and what sets the basis for issuers to be able to grow, compete and innovate.

Once the students have internalized the rationale behind capital markets law, the course will deal with the different applicable regulations. The lessons in this course will be twofold, focusing on common practices from both a business and a legal perspective. Special emphasis will be placed on European regulations and recommendations from international entities such as ESMA (the European Securities and Markets Authority), as the vast majority of the EU Member States (including Spain) follow the said foundations.

Finally, the course will also cover the main transactions that may take place in the capital markets (namely initial public offering or IPOS, public takeovers and the issue and listing of debt instruments) from a practical and legal perspective.

Learning Objetives

The aim of this course is to provide students with sufficient skills, knowledge and critical judgement to tackle different problems and situations they will encounter throughout their legal career, and also to:
-Understand the business case for capital markets transactions.
-Learn the basic principles of European and US capital markets regulations, as well as the main features of specific sectors.
-Develop practical and analytical techniques in transactions with capital markets components.
-Be aware of the multifaceted nature of capital markets in its interplay with other law branches.
-Familiarize with legal and financial concepts that are relevant to capital markets transactions.
-Encourage the use of common sense and intellectual criteria.
