The class focuses on enabling candidates to structure and negotiate both precontractual and contractual agreements; how to analyze, assess and advise on the effect of different types of clauses and define how they can be drafted or redrafted to leverage commercial objectives and manage and minimize risk of clients in international cross border transactions. To introduce participants to the principles of cross border transactions, and in particular to the practical world of international contracts in English. Please understand that the course enables participants to implement theory in context of practical exercises involving realistic situations, including examples of real transactions airbrushed for confidentiality. Commercial transactions end with legally enforceable agreements between persons – individuals and firms. Contracts allow individuals to rely on the promises of others, and thus form the basis for exchange. They also permit individuals to bind themselves to a particular course of action, to make meaningful choices, and to express preferences. But the enforcement of contracts may also require people to perform obligations they have come to regret or did not comprehend at the time of contracting. Contracts reduce complex relationships to simple terms and thus may fail to capture the full meaning of those relationships. Thus, much of this course will consider the scope and meaning of enforceable promises, primarily in an international business environment in which contracts are most frequently used for crossborder transactions in the field of M&A and others.
The class will discuss the concept of cross border transactions. We will discuss different types of deals and scenarios, such as the distinction between collaborative and competitive ones. This process usually involves dividing the class up into teams of two, allowing for hands on o take place between two “lawyers” on each side. As part of this process, students develop cooperation skills, as well as the ability to learn how to deal with different personalities on the other side of the table.
